By accessing or using ParkAfrica ('the Platform'), you agree to be bound by these Terms of Service ('Terms'). These Terms apply to all visitors, users, and others who access or use the Platform, including parking operators ('Companies') and end users ('Subscribers').

If you are using ParkAfrica on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Platform.

ParkAfrica is a cloud-based parking management software platform that enables:

• Parking operators to register, configure, and manage their parking lots digitally
• Operators to set subscription plans and accept subscriber payments
• End users to subscribe to parking spots at registered parking lots
• Operators to monitor occupancy, manage admins, and generate reports

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.

Company accounts: To register a parking lot on ParkAfrica, you must create a company account, provide accurate business information, and agree to these Terms. You are responsible for all activity that occurs under your company account.

Subscriber accounts: End users subscribe to parking services through a company's ParkAfrica page. Subscriber accounts are tied to the specific company they register with.

Account security: You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at support@parkafrica.io if you suspect unauthorised access.

Accurate information: You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

As a parking operator using ParkAfrica, you agree to:

• Provide accurate information about your parking facilities, including actual capacity and availability
• Set fair and transparent pricing for your subscriber plans
• Honour the subscriptions purchased by your subscribers
• Comply with all applicable local laws and regulations governing parking operations
• Ensure that your parking facilities are safe and accessible during operating hours
• Not exceed the subscriber limits of your chosen plan without upgrading
• Keep your contact and payment information current
• Not use ParkAfrica to operate any unlawful or fraudulent parking scheme

As a parking subscriber, you agree to:

• Register only vehicles you own or have authorisation to park
• Pay subscription fees on time and keep payment details current
• Comply with the parking rules and policies set by the parking operator
• Not share your parking pass or credentials with unauthorised third parties
• Vacate your parking space when your subscription expires
• Report any issues with your parking access to the operator promptly

Company subscriptions: Companies pay a recurring subscription fee to ParkAfrica based on their chosen plan (Starter, Business, Professional, or Enterprise). Fees are billed monthly or annually depending on your selected billing cycle.

Platform fee: ParkAfrica deducts a platform fee from subscriber payments processed through the platform. The applicable fee rate depends on the company's plan tier.

Subscriber payments: End users pay subscription fees directly to the parking operator through the ParkAfrica platform. Payments are processed by our certified payment processing partners.

Refunds: Subscription fees paid to ParkAfrica are non-refundable except where required by applicable law. Refund policies for subscriber payments are set by individual parking operators.

Pricing changes: We will provide at least 30 days' notice before changing our subscription pricing. Continued use after notice constitutes acceptance of the new pricing.

ParkAfrica charges a platform fee on all subscriber payments processed through the platform. This fee is automatically deducted at the time of payment processing and varies by plan:

• Starter plan: 12% of each subscriber payment
• Business plan: 10% of each subscriber payment
• Professional plan: 8% of each subscriber payment
• Enterprise plan: Negotiated rate

The platform fee is our primary mechanism for sharing in the success of the parking operators we serve. Operators retain the remainder of subscriber payments after the platform fee and any payment processing charges.

You may not use ParkAfrica to:

• Violate any applicable law or regulation
• Register false or fraudulent parking facilities
• Collect payments for parking spaces you do not control
• Harass, threaten, or harm other users
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to the Platform or other accounts
• Scrape, crawl, or harvest data from the Platform without permission
• Impersonate any person or entity
• Interfere with the proper functioning of the Platform
• Circumvent any security or access control measures

The ParkAfrica platform, including its design, code, branding, logos, and content, is owned by ParkAfrica and protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to access and use the Platform solely for its intended purpose in accordance with these Terms.

You retain ownership of any data you upload to the Platform (such as parking lot information and subscriber data). By uploading data, you grant us a limited licence to use that data solely to provide and improve our services.

To the fullest extent permitted by applicable law, ParkAfrica shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from unauthorised access to your account
• Service interruptions, delays, or errors
• Actions or omissions of parking operators or subscribers

Our total liability to you for any claim arising from use of the Platform shall not exceed the amount you paid to ParkAfrica in the 3 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

By you: You may cancel your account at any time from your account settings. Cancellation takes effect at the end of your current billing period.

By us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice where reasonably practicable.

Effect of termination: Upon termination, your access to the Platform will cease. We will retain your data for the period specified in our Privacy Policy and then delete it.

These Terms are governed by the laws of the Republic of Rwanda. Any disputes arising from these Terms or your use of ParkAfrica shall be subject to the exclusive jurisdiction of the courts of Rwanda.

If you are a consumer in a jurisdiction with mandatory consumer protection laws, those laws may also apply and take precedence where applicable.

We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of ParkAfrica after the effective date of updated Terms constitutes your acceptance.
